1. Acceptance of Terms

By accessing, registering, or using PublicOpinionPricing.com (the “Platform”), operated by PublicOpinionPricing LLC (“PublicOpinionPricing”), you agree to abide by these Terms & Conditions. These Terms and Conditions represent a binding agreement between you (“User” or “You”) and PublicOpinionPricing. If you do not agree to these terms, please cease using the Platform immediately.

2. Platform Overview

PublicOpinionPricing operates as a real estate marketplace providing a platform for Timed Bidding Events and FlexBid Sales, allowing users to list, bid on, and purchase properties. Seller Participants can list properties for sale, and Buyer Participants can place bids or make offers in accordance with the terms specified within the listing.

Role of PublicOpinionPricing

PublicOpinionPricing is a platform that enables transactions between Seller Participants and Buyer Participants but does not directly broker real estate transactions. We are not responsible for verifying the details or accuracy of property information, nor do we hold any property or facilitate closings directly.

3. Access to the Platform

By accessing and using the Platform, you confirm that:

• You are at least 18 years old, and if acting on behalf of an entity, you are authorized to do so.
• You accept and agree to be bound by these Terms & Conditions.

You are granted a non-transferable, non-exclusive license to use the Platform for personal, non-commercial purposes, including engaging in bidding and purchasing activities. This license is subject to the restrictions outlined in these Terms.

4. Listing, Bidding, and Offer Terms

• Seller Participants are responsible for the accuracy of all property listings and must ensure that the property is not under contract with any third party.
• Buyer Participants must conduct their own due diligence before placing bids or offers, including contacting third parties as necessary.
• Properties may be listed for Timed Bidding Events, where the highest bid wins, or FlexBid Sales, where buyers may place contingent offers.

5. Participant Fees

• Seller Participants are not charged a fee for listing properties on PublicOpinionPricing.
• Buyer Participants may be required to pay a Bid Deposit of $2,500 to participate in a Timed Bidding Event. This deposit is held by PublicOpinionPricing and will be refunded if the buyer’s bid is unsuccessful.
• A Platform Fee (or a similar platform fee) may be added to the final sale price at closing.

6. Payment and Closing Terms

• Following a successful Timed Bidding Event, the Seller and Buyer are bound by the Contract of Sale available on the Platform.
• PublicOpinionPricing will process the Platform Fee and ensure the deposit is applied according to the closing agreement.
• Buyer and Seller must aim to close the transaction within 30 days following the event, or as otherwise specified in the Contract of Sale.

7. Submission and Content Ownership

• By submitting property information, bids, offers, or other content to the Platform, you grant PublicOpinionPricing a perpetual, royalty-free, worldwide license to use, display, distribute, and perform such content for marketing and operational purposes.
• You warrant that all content submitted is accurate and does not infringe on third-party rights.

8. Prohibited Activities

You agree not to:

• Use the Platform for unlawful or harmful activities.
• Impersonate another person or entity.
• Post or transmit any material that is defamatory, obscene, or infringes on any intellectual property rights.
• Use any automated systems (e.g., bots, crawlers) to extract data from the Platform.

9. Limitation of Liability

PublicOpinionPricing, its affiliates, and its partners are not responsible for any direct, indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to property loss, system malfunctions, or errors in bid submissions.

In no event shall our total liability exceed the amount paid by you to PublicOpinionPricing in the last three months for the use of the Platform.

10. Dispute Resolution

All disputes related to these Terms & Conditions shall be resolved through binding arbitration as per the rules of the American Arbitration Association, with arbitration taking place in [your jurisdiction]. You waive your right to a jury trial.

11. Security and Privacy

PublicOpinionPricing takes reasonable steps to protect your data and ensure privacy. By using the Platform, you consent to the collection, use, and disclosure of your data as outlined in our Privacy Policy.

12. Modifications

PublicOpinionPricing reserves the right to modify, update, or change these Terms & Conditions at any time. All updates will be posted on the Platform, and your continued use of the Platform after such modifications constitutes acceptance of the new terms.

13. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of [your jurisdiction], without regard to its conflict of laws principles.

14. Termination

PublicOpinionPricing may terminate your access to the Platform if you violate any of these Terms. Termination may be immediate and without notice if we determine that you have engaged in any prohibited activity.
